Terms
What you are agreeing to, and what happens when something goes wrong. The section on what we are responsible for, and the limit on it, is the part worth reading, and it is written out rather than buried.
The short version
FileMyTax files a CT600 to HMRC and micro-entity or dormant accounts to Companies House, from figures you give us. Dormant companies are free; an active company is £15 a year, paid once for each year’s filing, and nothing renews. You are responsible for the figures, and for your company’s filings and deadlines. If we get a date, a document or a submission wrong, we correct it and re-file at no charge, and refund what you paid for that filing. That is the limit of what we pay. We do not pay penalties, interest, tax, or anyone’s costs to amend or reconcile a filing. Nobody is on call: we aim to reply within 24 hours but cannot guarantee it, so file early.
Who we are, and what this is
FileMyTax is a trading name of Polsia Limited, a private limited company registered in England and Wales, company number 17480153. Your agreement is with Polsia Limited. It is made with your company, through you as its director.
FileMyTax is filing software, run by one person in the United Kingdom. It submits what it is told to submit. It is not an accountant and it gives no tax advice. If you need somebody to tell you whether a cost is allowable, or whether your company should be dormant, that is an accountant’s job and not ours.
We file for companies small enough for micro-entity accounts, trading or dormant. We do not file audited, group or LLP accounts, FRS 102 full or IFRS, accounting periods longer than eighteen months, or a return needing a s455 charge on an overdrawn director’s loan. We do not do VAT, confirmation statements, payroll or self assessment. Most companies we cannot file for are told so at the company-number step, before you enter a figure. A few things only you know, such as the kind of company it is or whether it is over the micro-entity limits, are asked on the entry screen, and you are told there, before anything is paid for or sent.
What you are responsible for
The figures. Turnover, costs, what the company owns and owes, the number of employees, who is approving the accounts and on what date. We show you every one of them on the check-and-file page, and the finished documents themselves, before you make the declaration. If a figure is wrong, the return is wrong, and correcting it is between you and the regulator.
You are also responsible for having the right to file, as a director or otherwise authorised; for giving us the right Government Gateway user ID, password and Companies House authentication code; and for the security of your own Government Gateway account.
When something goes wrong
We draw one distinction: a figure you entered is yours; a date we told you, a document we built or a submission we were asked to send is ours. When it is ours, this is what we do, and it is all we do.
A deadline we told you
We work out your filing and payment deadlines from the dates on the public register and show them to you. They are a convenience, not advice: the deadlines on HMRC’s and Companies House’s own records are the ones that count, and keeping to them is your company’s responsibility. If ours turns out to be wrong, we tell you as soon as we know and refund what you paid for that filing.
A document we built
We turn your figures into a CT600, a computation and a set of accounts. If the arithmetic between your figures and the filed document is wrong, or we tag a figure to the wrong line, or a regulator refuses a document our own checks passed, we correct it, re-file it at no charge, and refund what you paid for that filing.
If the figures you gave us were wrong and we reproduced them faithfully, the document said what you said, and correcting it is between you and the regulator.
A submission that never went
Every submission gets a stored acceptance from each regulator, with its own timestamp, and a visible failure state when one does not arrive. A filing that has not been accepted is never shown to you as though it had. If a submission fails at our end, we tell you, send it again at no charge, and refund what you paid for it if it is not accepted within two working days (see refunds, below).
A filing turned away for something only you can put right, such as a Government Gateway password or an authentication code that does not match, is yours. We tell you by email and on the filing’s page, with the regulator’s reason.
Nobody is on call. If something breaks at our end on the evening of your deadline, it is looked at when we next can, usually within 24 hours and not guaranteed. File early: weeks ahead is safest.
The limit on what we pay
Our total liability to your company for anything to do with a filing, however it arises, including through our negligence, is limited to the fee you paid us for that filing: £15, or nothing for a free dormant filing.
Within that, we are not liable for: penalties, surcharges or interest charged by HMRC or Companies House; any tax; the cost of an accountant, adviser or anyone else to amend, correct or reconcile a filing or your records; lost profit, business, time or opportunity; or any indirect or consequential loss.
Nothing here limits or excludes liability that cannot be limited or excluded by law, including liability for fraud or for death or personal injury caused by negligence.
Insurance: we do not carry any
FileMyTax carries no professional indemnity insurance. We would rather you knew that before you file than after something goes wrong.
It is one reason the most we will ever pay for a filing is what you paid for it, and why we open up slowly and file in small numbers rather than at scale.
Price, renewal and refunds
Dormant companies are free. An active company is £15 a year: one card payment for one company’s filing for one year, which covers both the CT600 and the accounts. A period of twelve to eighteen months, which needs two CT600s, is still one £15. There are no tiers and no limit on how many companies you file.
Polsia Limited is not registered for VAT, so no VAT is charged: £15 is the whole price, and the receipt is not a VAT invoice.
You pay on the check-and-file page, once both filings are ready to send, and nothing is sent until you have paid and made the declaration. Nothing renews. There is no subscription and no card kept on file: next year’s filing is paid for next year, when you file it, at the price shown then.
If you pay and, two working days later, HMRC and Companies House have not both accepted the filing, the £15 comes back. Working days are Monday to Friday, not counting bank holidays in England and Wales, because Companies House process filings only on those days. One accepted and one not counts as not filed, because one price buys both. You do not have to ask for it, and we would rather refund than argue. It is not automatic: every day we are told of any payment that, two working days on, has not been accepted by both HMRC and Companies House, a person makes the refund through Stripe, and we email you when it is made. Because a person makes it, it usually happens within 24 hours of our being told, though that is not guaranteed. Card refunds usually reach a statement within 5 to 10 working days. A refund does not file anything; the email says where each filing stands.
Your Government Gateway details
We keep your Government Gateway details and the company’s authentication code, encrypted and tied to one filing, so a filing that fails at eleven at night can be sent again without you sitting at the computer. They are deleted as soon as HMRC or Companies House confirm they have the filing, or if it is turned down, cannot be sent or is abandoned, and when you close your account; one still held after 30 days raises an alarm with us to delete it. The website cannot decrypt them; only the machine that files can. The privacy page says exactly what we hold and for how long.
Leaving, and if FileMyTax stops
You can leave whenever you like. Your account page downloads everything we hold for you as one file, and closes the account.
FileMyTax may change or stop at any time, without notice. Your company’s filings are its own responsibility, and other filing services and accountants exist, so keep your own copy: the account page downloads every document we filed and every receipt, whenever you like while FileMyTax runs. A filing you paid for that HMRC and Companies House have not both accepted gets its £15 back, as the refund section says.
While FileMyTax runs, we keep the documents we filed and their receipts, because they are your evidence that the company met a legal obligation.
Changing these terms
If we change anything in the section on when something goes wrong, the limit on what we pay, or the price, we email you before it takes effect, and it does not apply to a filing already in progress. Anything else changes the date at the foot of this page.
Law, and asking us anything
These terms are governed by the law of England and Wales.
support@filemy.tax. One person reads that address. We aim to reply within 24 hours, but cannot guarantee it. Nobody is on call, deadline nights included. If something has gone wrong with a filing, say so in the subject line and it goes to the top. Retries need nobody: a filing that fails because HMRC or Companies House is down is sent again on its own.
